AI Supplementary Terms

These 42 AI Supplementary Terms (“AI Terms”) form part of the agreement between Customer and 42 Technologies, Inc. (“42”) identified in the AI Addendum (the “Agreement”). These AI Terms are incorporated into and form part of the Agreement pursuant to the AI Addendum and apply solely to Customer’s access to and use of AI Features.
1. Definitions
“AI Features” means features, functionality and capabilities offered as part of the Services that utilize artificial intelligence, machine learning or similar technologies developed by 42 and/or 42’s third-party providers (the “AI Providers”) or enable integration with or access by third-party artificial intelligence systems. Such AI Features are identified in the applicable documentation, or on our website.
“Input” means User Generated Content that is submitted, transmitted, or otherwise used by or on behalf of Customer for processing by the AI Features, including via integrations, APIs, or third-party systems.
“Output” means any response generated by the AI Features in response to the Input, including any such response returned or made available through the Services or through integrations, APIs, or third-party systems.
“User Generated Content” is defined as any content, information, and materials that may be textual, audio, or visual that you provide, submit, upload, publish, or make otherwise available to the Services and your users, including any such content, information, or data provided by or on behalf of Customer or accessed, processed, or made available through the Services (including via integrations, APIs, or third-party systems). You are solely responsible for User Generated Content, and we act merely as a passive conduit for your online distribution and publication of your User Generated Content.
2. Intellectual Property. 42 and the AI Providers, as applicable, exclusively own all right, title, and interest in and to the AI Features, including all associated intellectual property rights, and except for the rights to use provided in the Agreement, no other rights or permissions to any of the AI Features is granted.
3. Inputs and Outputs. You may provide Input to be processed by the AI Features and receive Output in connection with your use of the AI Features. When you use the AI Features, Input and Output are your User Generated Content. You are solely responsible for the development, content, operation, maintenance, and use of your User Generated Content. In addition to the provisions of the terms and conditions with respect to User Generated Content, you will ensure that your Input and use of Output will not (i) violate any applicable law; (ii) violate these AI Terms or the Agreement; or (iii) infringe, violate, or misappropriate any of our rights or the rights of any third party. You acknowledge that due to the nature of machine learning and the technology powering AI Features, Output may not be unique and the AI Features may generate the same or similar output to 42 or a third party (“Other Results”), and you acknowledge that you have no right, title, or interest in or to any Other Results. You are responsible for any Inputs or Outputs used in connection with third-party AI systems or integrations connected to the Services.
4. Providing the AI Features.
a. Notwithstanding anything to the contrary in any applicable agreement between you and 42, 42 may collect and use data of your interaction with, or use of the AI Features, including Input and/or Output in order to: (i) provide you with the AI Features’ functionalities; (ii) maintain, secure, support, and improve the AI Features for Customer and to enforce applicable policies; (iii) comply with applicable laws and regulations; and (iv) enforce the Agreement, these AI Terms, and applicable provider policies.
b. Notwithstanding the foregoing, 42 contractually restricts the AI Providers from using User Generated Content for training or otherwise improving such AI Provider’s services for general use.
c. Use Restrictions. You may not use the AI Features or Output (i) to develop foundation models or other large scale models that compete with 42 or the AI Features; (ii) to mislead any person that Output from the Services was solely human generated; (iii) to generate spam or content for dissemination in electoral campaigns, or (iv) in a manner that violates the Agreement or any technical documentation and usage guidelines. You will not connect the Services to third-party AI systems in a manner that circumvents technical safeguards, violates applicable law, or materially increases security risks to the Services.
d. External AI Applications.
(i) To the extent enabled by 42 for Customer, Customer may choose to connect the Services or its User Generated Content, Inputs, or Outputs to third-party artificial intelligence systems, applications, or integrations, including generative AI tools. Customer acknowledges that use of such third-party systems may result in the transmission of User Generated Content, Inputs, or Outputs to systems operated by third parties that are governed by their own terms, policies, and privacy practices, and that, once transmitted to such third-party systems, 42 does not control and is not responsible for the processing, storage, use, retention, disclosure, or security of such data by those third-party systems.
(ii) Access to AI Features through any such third-party system does not provide automatic or independent access to the Services or to any underlying systems or technology used by 42 to provide the Services, and any individual using such functionality must separately authenticate through 42’s access controls.
(iii) Solely with respect to AI Features, Customer is responsible for maintaining the security of the devices, software, accounts, passwords, and access methods used by its Authorized Users or Designated Personnel, as applicable under the Agreement, and for all use of such access by its employees, contractors, and agents. Customer is solely responsible for determining which such persons are authorized to use such integrations, for ensuring that such use complies with the Agreement, these AI Terms, applicable law, company policies, and any applicable documentation or usage guidelines provided by 42, and for promptly notifying 42 when any such authority should be changed, suspended, or terminated.
(iv) For the avoidance of doubt, Customer may use AI Features through third-party artificial intelligence systems, applications, devices, software, or other technology selected by Customer, subject to the Agreement, these AI Terms, and any applicable documentation or usage guidelines provided by 42. 42 may identify certain methods as supported or recommended, but 42 does not approve, monitor, or assume responsibility for all third-party technologies that Customer may choose to use.
(v) Any use of AI Features through such third-party technology that circumvents technical safeguards, bypasses required authentication through 42’s access controls, violates the Agreement, these AI Terms, or applicable documentation or usage guidelines, or materially increases security, compliance, or operational risk constitutes use of the Services in a manner not authorized by the Agreement. Customer’s indemnification obligations under the Agreement apply to third-party claims arising from such unauthorized conduct.
(vi) 42 may deny, suspend, limit, or revoke access to any AI Features, including any related third-party integration, authentication flow, or access path, at any time if 42 reasonably suspects unauthorized use, misuse, security, compliance, or operational risk. To the extent of any conflict between this Section 4(d) and the Agreement, this Section 4(d) controls solely with respect to AI Features.
5. Accuracy. 42 does not make any representation, warranty or indemnity as to the results that may be obtained from the use of the AI Features, the Outputs or the accuracy, currency or completeness of any other information obtained through the AI Features. You understand and agree that any material and/or data obtained through the use of any AI Features is done at your sole risk. You should not rely on factual assertions in Output without independently fact checking their accuracy. Output that appears accurate because of the detail of specificity may still contain material inaccuracies. The AI Features cannot dynamically retrieve information, and Output may not account for events or changes to underlying facts occurring after the applicable model was trained. No information or advice, whether oral or written, obtained by you from 42 or through the AI Features shall create any warranty not expressly made herein.
6. Usage Limits. 42 may monitor and limit or suspend your usage of the AI Features if 42 believes your usage may bypass or circumvent any rate limits, negatively affect the security, operability, or integrity of any Services, violate the Agreement or otherwise impose liability on 42.
7. Third Party Provider Policies. If you choose to use the AI Features, you may not use the AI Features in a manner that violates the Agreement, or the terms of any applicable third-party provider whose services are used in connection with the AI Features, including, without limitation, Anthropic’s Commercial Terms of Service and Usage Policy, OpenAI’s Sharing and Publication Policy and Community Guidelines, Slack’s Terms of Service, WhatsApp’s Terms of Service, each as updated from time to time.
8. Data Collection. 42 is not responsible for any Inputs or Outputs based on your User Generated Content. You agree not to include any personally identifiable information in your Inputs. AI Providers may retain User Generated Content for the period permitted under the applicable provider terms or technical configuration in effect for the AI Features.
9. Miscellaneous. Use of the AI Features is optional. These AI Terms are incorporated into and form part of the Agreement pursuant to the AI Addendum executed by the parties. 42 may update these AI Terms from time to time upon notice to Customer’s notice email designated in the AI Addendum, or such other email address as Customer later designates by written notice to 42. Notice may be given by email attaching the updated AI Terms or by providing a link to a stable URL where the updated AI Terms are posted. Any update that does not materially reduce Customer’s rights, materially expand Customer’s payment obligations, materially expand Customer’s data-use obligations, or materially alter the parties’ risk allocation will become effective on the date specified in the notice. Any other update will require a written amendment or addendum signed by both parties. Continued access to and use of the AI Features, or certain features therein, may be subject to Customer’s agreement to pay additional fees.
